1. ACCEPTANCE OF TERMS

Please review these Terms carefully. By using our Shopify app, SEOLab, or by indicating your agreement (e.g., creating an account, clicking "I Agree," etc.), you affirm that you have read, understood, and consent to these Terms. If you do not accept these Terms, you must refrain from using our app.

These Terms include: (i) these Terms of Service; (ii) our Privacy Policy, available at thecbdoilshop.myshopify.com (iii) any applicable User Guidelines (defined in Section 3A); and (iv) our Data Processing Agreement, if applicable, available at thecbdoilshop.myshopify.com. Collectively, these documents form the "Terms" governing your use of SEO Lab. "You" and "your" refer to any user of the app, including Merchants, as defined below.

“Merchant” refers to an individual or entity using SEOLab to optimize their Shopify store’s search engine rankings and related activities.

These Terms supersede all previous agreements between you and SEOLab regarding the app. As outlined in Section 16H, SEOLab reserves the right to amend these Terms at any time. Continued use of the app signifies your acceptance of the updated Terms.

The app is not intended for use by individuals or entities located within the European Economic Area. Section 15 includes provisions for resolving disputes through binding arbitration. Unless you opt out as specified, you agree to waive your right to class actions and jury trials.

2. YOUR SEO LAB ACCOUNT

Eligibility: The app is intended for individuals who are (i) 18 years or older or (ii) 13 years or older with parental or guardian consent. By using SEOLab, you affirm that you are legally permitted to do so under applicable laws. If you are creating an account for a business, you confirm you have the authority to bind that business to these Terms.

Account Creation: You agree to provide accurate and current information during account registration. You must safeguard your account credentials and notify SEOLab immediately of any unauthorized use. SEOLab is not responsible for damages arising from unauthorized access to your account.

3. MERCHANT-SPECIFIC TERMS

A. Limited License Grant:

During the Term (defined in Section 11A), and subject to payment of applicable Fees (outlined below) and compliance with these Terms, SEOLab grants you a limited, non-exclusive, non-transferable license to:

• Use the app to optimize your Shopify store’s SEO, manage keywords, and analyze traffic data.
• Access and use SEOLab’s documentation and support materials solely for purposes related to your use of the app.

B. App Modifications:

SEOLab reserves the right to modify app features at any time. If significant changes negatively impact functionality, you may terminate your subscription within 30 days of the modification without penalty.

C. Fees:

Subscription fees are outlined during the order process. Fees may be based on your chosen plan or tier. All fees exclude applicable taxes, which you are responsible for paying. Fee schedules in your Merchant Order take precedence over publicly listed rates.

D. Payment Terms:

You authorize SEOLab to charge subscription fees automatically to your provided payment method on a recurring basis. You must maintain valid payment information and ensure sufficient funds to cover charges. Failure to pay fees may result in suspension or termination of your account.

4. ACCEPTABLE USE OF THE APP

A. Compliance with Laws: You agree to comply with all applicable laws and regulations, including advertising, privacy, and intellectual property laws.

B. Prohibited Actions: You agree not to:

• Use the app to infringe on others’ rights.
• Reverse-engineer or create derivative works from the app.
• Introduce malicious software or disrupt the app’s functionality.
• Engage in fraudulent or deceptive practices.

C. Rights of SEOLab:

SEOLab reserves the right to suspend or terminate accounts for violations of these Terms and to investigate and take legal action against breaches.

5. YOUR DATA

A. Use of Data: By using SEOLab, you consent to the collection and use of your data as outlined in our Privacy Policy. Data may be shared with third-party service providers as necessary to provide the app’s features.

B. Data Security: SEOLab takes reasonable steps to protect your data but cannot guarantee absolute security. You acknowledge the risks associated with storing data online.

C. Aggregate Data: SEOLab may use anonymized and aggregated data for internal analysis or marketing purposes.

D. Excluded Data: You confirm that your data does not include sensitive information subject to specific legal protections, such as HIPAA or GDPR-sensitive data. SEOLab disclaims liability for managing or securing such data.

6. INTELLECTUAL PROPERTY

SEOLab retains ownership of all intellectual property rights in the app, including software, design, and documentation. Your use of the app does not grant you ownership rights.

7. PUBLICITY

By using SEOLab, you grant permission to use your business name and logo in promotional materials. You may withdraw this permission with written notice, which will not apply retroactively.

8. TERM AND TERMINATION

A. Term: These Terms remain in effect for the duration of your subscription. Subscriptions automatically renew unless canceled at least 30 days before the renewal date.

B. Termination: SEOLab may suspend or terminate your account for non-compliance, inactivity, or failure to pay fees. Upon termination, your access to the app will cease, and your data may be deleted after 30 days.

C. Post-Termination: Provisions related to confidentiality, intellectual property, and liability limitations survive termination.

9. DISCLAIMERS AND LIMITATIONS OF LIABILITY

SEOLab is provided "as is." We disclaim all warranties, express or implied, including fitness for a particular purpose. To the extent permitted by law, our liability is limited to the lesser of fees paid in the past 12 months or $100.

10. ARBITRATION AGREEMENT AND WAIVER OF CLASS ACTION

Disputes are to be resolved through binding arbitration under the rules of the American Arbitration Association (AAA). Class actions and jury trials are waived unless you opt out within 30 days of accepting these Terms.

11. GENERAL PROVISIONS

Governing Law: Florida law governs these Terms. Disputes must be brought in Dade County, Florida.

Amendments: We may amend these Terms with 30 days' notice. Continued use of the app signifies acceptance.

Force Majeure: SEOLab is not liable for delays or failures caused by events beyond our control.
